1. Definitions

  • "Aethon" refers to the company operating at 14 Jalan Tun Razak, 50400 Kuala Lumpur, Wilayah Persekutuan, Malaysia.
  • "Services" refers to AI consultancy and development services offered by Aethon, including intelligent document processing, recommendation system design, and AI-assisted decision support.
  • "Client" or "You" refers to any organisation or individual that accesses our website or engages our services.
  • "Agreement" refers to these Terms & Conditions together with any project scope document or service agreement entered into between Aethon and the Client.
  • "Website" refers to the site operated at aethona.biz.

2. Acceptance of Terms

By accessing this website or engaging Aethon for services, you confirm that you are aged 18 or above, have the legal capacity to enter this Agreement, and agree to be bound by these Terms & Conditions. If you are entering this Agreement on behalf of an organisation, you confirm you have authority to do so.

3. Service Description and Availability

Aethon provides AI consultancy and development services in Malaysia. Services are scoped and delivered on a project basis. Specific deliverables, timelines, and acceptance criteria are set out in individual scope documents or service agreements.

We reserve the right to decline an engagement if, in our professional judgement, we cannot deliver the requested service to an acceptable standard, or if there is a conflict of interest.

4. User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate information in all communications and form submissions
  • Not use the website for any unlawful purpose or in a manner that could damage, disable, or impair its operation
  • Not attempt to gain unauthorised access to any part of our systems or third-party systems connected to our services
  • Provide timely responses and required data during project engagements to avoid delays
  • Ensure that any client data shared with Aethon during a project is shared with appropriate authority and in compliance with applicable data protection laws

5. Intellectual Property

All content on the Aethon website — including text, graphics, code, and design — is owned by or licensed to Aethon and is protected under applicable Malaysian intellectual property law.

On completion and full payment of a project, Aethon grants the Client a non-exclusive, non-transferable licence to use the deliverables for their intended operational purpose. Source code ownership arrangements are specified in the project scope document.

Aethon retains the right to describe the general nature of a completed engagement in portfolio or marketing materials, unless the Client requests confidentiality in writing during the project.

6. Payment Terms

Project fees are set out in the scope document. Standard payment structure is:

  • An initial deposit (typically 30–40% of total fee) to confirm the engagement
  • A mid-project milestone payment on completion of agreed phase
  • A final payment on deployment and acceptance of deliverables

All fees are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise. Payment is due within 14 days of invoice. Late payments may be subject to interest charges at 1.5% per month.

Where a project is terminated by the Client after commencement, fees for completed phases and reasonable preparation costs for incomplete phases are payable.

7. Service-Specific Terms

All AI service engagements

  • Model performance is assessed against benchmarks agreed at scoping. Performance outside these benchmarks may require additional data or scope changes, which will be discussed and documented before proceeding.
  • AI models may exhibit behaviour outside their training distribution when deployed in live environments. Aethon is not liable for business decisions made based on model outputs.
  • Post-deployment changes to the Client's systems, data structure, or operational environment may affect model performance and are outside the scope of the original engagement.

8. Disclaimers

Our website and services are provided on an "as is" basis. While we take care to provide accurate information, we make no warranties regarding the completeness, accuracy, or fitness for a particular purpose of information on the website.

AI systems, by their nature, do not operate with perfect accuracy. Outputs from AI systems delivered by Aethon should be used as inputs to human decision-making, not as substitutes for professional judgement.

9. Limitation of Liability

To the extent permitted by Malaysian law, Aethon's total liability to you in connection with any engagement shall not exceed the total fees paid by you for that specific engagement.

We are not liable for indirect, consequential, incidental, or special losses, including loss of profits or loss of business opportunity, arising from the use of our services or AI deliverables.

10. Confidentiality

Both parties agree to treat as confidential all business information, technical details, and client data shared during an engagement. This obligation survives the termination of the engagement for a period of 3 years, except where disclosure is required by law.

11. Termination

Either party may terminate an engagement by providing 14 days written notice. Upon termination, the Client is liable for fees covering completed work and reasonable costs incurred. Aethon will provide all completed deliverables and documentation up to the point of termination.

12. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of Malaysia. Any disputes arising from this Agreement shall first be subject to good-faith negotiation. If unresolved after 30 days, disputes shall be referred to the courts of Malaysia with jurisdiction in Kuala Lumpur.

13. General Provisions

  • Entire Agreement: These Terms together with any signed scope document constitute the full agreement between the parties.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations without Aethon's written consent.

14. Changes to These Terms

We may update these Terms periodically. The effective date at the top of this page reflects the current version. Material changes will be communicated via our website. Continued use of our services after changes become effective constitutes acceptance.
